The undersigned natural persons at least nineteen (19) years of age, hereby adopt the following Articles of Incorporation for the purpose of forming a corporation note for profit.
The name of the corporation shall be Fairbanks Community Band, Inc.
The duration of the Corporation shall be perpetual.
The purpose of the Corporation is to engage in activities pursuant to AS 1.20.005, but as limited by Article IX hereof. With these limitations, it may carry on the following educational activities and charitable activities:
The Corporation shall not engage in activities which are not in furtherance of AS 10.20.005, and the Corporation is not a private foundation.
No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to its members, directors trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof. No substantial part of the activities of the Corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these Articles, the Corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, or under the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under Section 501(c)(3) of the Internal Revenue Code, or under the corresponding section of any future federal tax code.
The internal affairs of the Corporation shall be regulated by the bylaws adopted by the Corporation which shall not conflict with any provision in these Articles.

The name of the registered agent at the above address is Frederic E. Brown, Attorney at Law.
The initial Board of Directors shall consist of three (3) Initial Directors, whose names and addresses are:

The corporation is organized exclusively for purposes within the meaning of Section (501)(c)(3) of the Internal Revenue Code.
Upon the winding up and dissolution of the corporation, after paying or adequately providing for the debts and obligations of the corporation, the remaining assets, if any, shall be distributed to an education institution, non-profit fund, foundation, entity or corporation which has established its exempt status under Section 501(c)(3) of the Internal Revenue Code, or under the corresponding section of any future federal tax code.
